These Terms and Conditions (“Terms”) govern access to and use of CONVIO Meetings, CONVIO Cloud, and the convio.in website (collectively, the “Services”). CONVIO is a brand owned and operated by Tensai Computers Private Limited, a company incorporated under the laws of India (“we”, “us”, “our”).

By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and the CONVIO Privacy Policy. If you do not agree, you must not use the Services.

 

 

1. Eligibility & Authority 

 

  • You must be legally competent to enter into a binding contract under applicable law.

  • If you use the Services on behalf of an organization, you represent that you have full authority to bind such organization.

  • Unauthorized or unlawful use is strictly prohibited.

 

 

2. Account Registration & Responsibility

 

  • Users are responsible for maintaining the confidentiality of login credentials.

  • All activities performed under an account are deemed to be performed by the account holder.

  • CONVIO shall not be liable for any loss arising from unauthorized account access caused by user negligence.

 
 
 
3. Acceptable Use Policy

 

Users shall not:

  • Use the Services for illegal, harmful, or fraudulent activities

  • Upload or transmit malware, spyware, or malicious code

  • Infringe intellectual property or privacy rights of others

  • Attempt to gain unauthorized access to systems or data

  • Record meetings or monitor participants without lawful consent

 

CONVIO reserves the right to suspend or terminate access for violations without prior notice.

 

 

4. CONVIO Meetings

 
  • Audio / Video access occurs only during active meetings initiated by users.

  • Meeting Recordings are disabled by default unless explicitly enabled.

  • Users are solely responsible for compliance with Recording consent laws applicable in their jurisdiction.

  • Meeting Recording requires active and available Meeting Recorder resource in CONVIO Backend, its availability depends on load and current active usage on the Platform. CONVIO doesn’t guarantee full 24x7x365 availability of the Recording Resources (Meeting Recorder).

 

 

5. CONVIO Cloud

 

  • Users retain ownership of all content uploaded.

  • CONVIO does not claim ownership or license beyond what is necessary to provide the Services.

  • Users are responsible for data accuracy, legality, and backups unless otherwise stated.

 

 

6. Data Protection & Privacy

 

  • Use of the Services is subject to the CONVIO Privacy Policy.

  • CONVIO implements reasonable security practices as required under the IT Act, DPDP Act, and applicable laws.

  • Users consent to processing and storage of data as described in the Privacy Policy.

 
 
 
7. Subscription, Fees & Payments
 
 
  • Certain CONVIO features and services may require paid subscriptions or one-time payments.

  • All pricing, fees, and charges are displayed at the time of purchase and are inclusive of applicable taxes unless stated otherwise.

  • By subscribing or making a payment, you authorize Tensai Computers Private Limited (operating under the CONVIO brand) or its authorized payment partners to charge your selected payment method.

  • Subscriptions may auto-renew unless cancelled prior to the renewal date.

  • Fees are non-refundable unless expressly stated in writing or required by applicable law.

  • Failure to complete payment may result in suspension or termination of Services without notice.

  • CONVIO reserves the right to revise pricing, plans, or billing cycles with prior notice.

 

 

7A. Goods and Services Tax (GST) – India Only

 

  • Goods and Services Tax (GST) shall be applicable only for customers located within India, as per prevailing Indian tax laws.

  • GST will be charged additionally on applicable CONVIO services and reflected separately on invoices issued by Tensai Computers Private Limited.

  • Customers are responsible for providing accurate billing details, including GSTIN, at the time of purchase. Failure to provide valid GST information may result in GST being charged at the applicable rate without input tax credit eligibility.

  • GST input tax credit shall not be applicable for customers located outside India. Any local taxes, duties, or levies imposed by foreign jurisdictions shall be the sole responsibility of the customer.

  • CONVIO shall not be responsible for tax compliance obligations arising outside the territory of India.

 

 

8. Service Availability & Modifications

 

  • Services are provided on a best-effort basis.

  • CONVIO does not guarantee uninterrupted or error-free operation.

  • Features may be modified, added, or discontinued at any time.

 

 

9. Intellectual Property

 

  • All trademarks, logos, software, platform content, designs, and documentation are the exclusive property of CONVIO or its licensors.

  • CONVIO is a brand of Tensai Computers Private Limited.

  • No rights or licenses are granted except as expressly stated under these Terms.

 

 

10. Suspension & Termination

 

CONVIO may suspend or terminate access:

  • For violation of these Terms

  • For legal or regulatory requirements

  • To protect platform integrity or security

 

Upon termination, access to Services will cease immediately.

 

 

11. Disclaimer of Warranties

 

The Services are provided “AS IS” and “AS AVAILABLE”. CONVIO disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

 

 

12. Limitation of Liability

 

To the maximum extent permitted by law:

  • CONVIO shall not be liable for indirect, incidental, special, or consequential damages

  • Total liability shall not exceed the amount paid by the user in the preceding 12 months, or INR 4,999, whichever is lower

 

 

13. Indemnification

 

Users agree to indemnify, defend, and hold harmless CONVIO and Tensai Computers Private Limited, its directors, officers, employees, and partners from any claims, damages, losses, liabilities, costs, or expenses arising out of:

  • Violation of these Terms

  • Misuse or unlawful use of the Services

  • Infringement of intellectual property, privacy, or other rights of any third party

 

 

14. Governing Law & Jurisdiction

 

These Terms shall be governed by and construed in accordance with the laws of India.

 

Courts located in [Thane, Maharashtra INDIA] shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.

 

 

15. Third-Party Links & Tools

 

The Services may contain links to third-party websites, integrations, or tools. Such third-party services are provided on an “AS IS” basis without warranties or endorsement. CONVIO shall not be responsible for third-party content, policies, or practices.

 

 

16. Severability

 

If any provision of these Terms is held to be invalid or unenforceable by a competent court, such provision shall be severed and the remaining provisions shall remain in full force and effect.

 

 

17. Entire Agreement & No Waiver

 

These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and CONVIO regarding use of the Services.

 

Failure by CONVIO to enforce any right or provision shall not constitute a waiver of such right or provision.

 

 

18. Changes to Terms

 

CONVIO may update or modify these Terms at any time. Continued access or use of the Services after such changes constitutes acceptance of the revised Terms.
